Welcome to www.workofhonor.com (hereinafter the “Website”), a website owned and operated by Work of Honor LLC (a Washington limited liability company). This platform helps (i) veterans and business professionals build a network and search for job opportunities, (ii) authors publish and promote their works such as articles, photographs and video, and (iii) companies that are dedicated to recruiting veterans promote their business and find candidates (our “Services”).

These Terms of Use and the Privacy Policy govern your use of this Website. Please review them carefully. Work of Honor reserves the right to take steps to block access to this Website, including but not limited to, deleting your account, if you are deemed to be in violation of the following terms and conditions.

WHEN YOU ACCESS THE WEBSITE, YOU AGREE TO THESE TERMS OF USE AND PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS OF USE OR TO ANY CHANGES TO THE SAME THAT WE MAY SUBSEQUENTLY MAKE, IMMEDIATELY STOP ACCESSING THIS WEBSITE.

As used in these Terms, (i) “Business” refers to businesses that are registered on this Website (ii) “Recruiters” refers to individuals authorized by Businesses to post jobs on the Website, and recruit registered members of the Website for the Business; (iii) "You" (also "your" and "user") refers to you, the individual, as well as any entity or other individual on whose behalf you’re acting, and applies to registered users of the website as well as non-member visitors; and (iv) “We” (also “our” or “us”) refers to Work of Honor LLC and its affiliates such as its employees, independent contractors, representatives, consultants, executives, officers, advisers, board members, investors, directors, joint ventures, parents, subsidiaries, successors, assigns, and any controlling and/or acquiring individual or entity and his/her/its affiliate, and (v) “Authors” refers to registered members of this Website who publish, link to, or otherwise promote their creative works such as articles, photographs and video on this Website.

1. Eligibility:

You may only use the Services if you are:
i. Eighteen (18) years of age or older;
ii. Of sound mind and body to agree to these Terms of Use; and
iii. In possession of the full rights and/or authorization to (a) make use of your User Content (defined below) and (b) agree to these Terms of use.

2. Account:

In order to use functionalities of this website, you will need to create an account ("Account”) with a username and password or PIN. If registering on behalf of a Business or as a Recruiter, you are required to use your corporate email account for registration and other activities. This Account will keep track of your activity and messages on the website. You are responsible for maintaining the confidentiality of your User ID, Password and Account. You agree that you will not authorize and/or permit others to use your Account. Although we have no obligations arising from unauthorized use of your Account, you should immediately notify us through our customer service contact information if there’s any unauthorized use of your User ID, Password or Account.

Work of Honor is committed to ensuring that your privacy is protected. Work of Honor reserves the right to cancel any account if these terms and conditions are not met and users do not use the site for the purpose for which it was created. At our sole discretion we also reserve the right to cancel membership and deactivate Accounts, if the platform is abused in any way. Accounts are not transferable. Accounts can also be suspended should joint persons use a single account registered to an individual’s account.

3. Business Profile:

We create a Business Profile for businesses that register with us. The profile contains information and content provided by the Business to us, as well as information we gather from other sources about the Business, such as its website, Facebook page, LinkedIn page, twitter, etc. The profile contains information about the Business’ products and services, as well as links to the Business’ website and relevant web pages. Upon publishing the Business Profile, Work of Honor sends an email confirmation to the registered email account of the Business.

As a Business, you agree that you have reviewed the content of your Business Profile, and approved publication, either (i) by explicitly approving it in writing or orally; or (ii) failing to disapprove or respond to email sent by Work of Honor at your registered email account, within 5 days. Further, you authorize us to share, post, link to, and make derivative works of your Business Profile.

When registering with us, Businesses provide us a link to their Website. By registering with us, you authorize us to link directly to the job openings on your website, copy the job openings on your website to our Website, and provide a summary of such job openings on our Website (note: We may use job scraping technology). Our summary of the job openings may differ from the Business’ summary. You agree that you have reviewed and approved such summary if (i) you have explicitly approved the summary in writing or orally; or (ii) failed to disapprove or send a comment on it by emailing us at mail@workofhonor.com, within 5 days of us posting of such summary.

4. Author’s Profile:

We create a Profile for Authors that register with us. This profile contains information and content provided by the Author to us, as well as information we gather from other sources about the Author, such as his/her blog, Facebook page, LinkedIn page, twitter, google, etc. The profile contains links to the Author’s blog and other relevant content created/drafted by the Author on other third party websites. Upon publishing the Author’s Profile, Work of Honor sends an email confirmation to the Author.

As an Author, you agree that you have reviewed the content of your Author’s Profile, and approved its publication, either (i) by explicitly approving it in writing or orally; or (ii) failing to disapprove or respond to email sent by Work of Honor at your registered email account, within 5 days. Further, you authorize us to share, post, link to, make derivative works of, and use your Author’s Profile.

5. User Content:

“User Content” refers to any profile information, message, post, tag, comment, article, response, feedback, third party user information, link, image, text, photo, video, and/or audio, you create, provide, submit, post, upload, import, sync, and/or share on the Website or provide directly to Work of Honor. For Businesses and Recruiters, User Content includes information regarding the Business, any logos, photos, and other content you post on behalf of the Business or provide to Work of Honor, any job postings made by you and links to job openings made by you, job openings on your website, and any messages, feedbacks, etc. you send to other registered users on the Website. For Authors, User Content includes your blog articles, photographs, video and other content, links, and any information you provide about yourself or third parties to Work of Honor. User Content specifically does not include your user password, personally identifying information, or financially sensitive information (which are covered under our “Privacy Policy”). As regards your User Content, you agree that:

i. You and you alone are responsible for all actions and omissions arising out of and/or relating to your Account, User Content, and/or other use of our Services. Any User Content or other information you provide to use is at your own risk of liability, harm, loss, damages settlement amount, expense, fee, cost, and/or penalty.
ii. Any User Content or other information you furnish to Work of Honor is completely accurate and can be disclosed by you without breaching any contract provisions or violating any laws, or third party rights (e.g. privacy, confidentiality, copyright, trademark, patent, trade secret, proprietary). You agree that your user profile and related information will remain current and up-to-date at all times.
iii. You shall not use any other user’s account, discover any other user’s private account information, or purchase, acquire, or otherwise receive access or rights to any other user’s account.
iv. During the course of using our Services, you may encounter content, information, data, and/or material that you consider inaccurate, objectionable, inappropriate, hostile, indecent, and/or worse. Therefore, you acknowledge and agree that you our Services at your own risk of encountering such content or material. You accordingly shall not under any circumstances hold Work of Honor responsible or liable for the creation, existence, or continuation of such content, information, data, or material, or the effects of such content, information, data, or material on you or any other third party.
v. We do not audit, analyze, or review User Content or third party content before it goes live. We are not in any way responsible for what is published in connection with our Services, and we are under no obligation to edit or control User Content or third party content. While we make an effort to help our users, we make no warranties or representations regarding responding to User Content issues or other issues arising out of or relating to our Services; it is possible that your issue may go unaddressed. That said, we reserve the right to delete any User Content or any other content at any time for any reason without notice or consent.
vi. Unless you are a recruiter or business, your User Content shall not contain any material that constitutes or reflects a solicitation, advertisement, promotion, or other instance of commercial activity.
vii. Your User Content is considered to be public and non-confidential in its entirety – it may be discovered, used, and/or attributed to you by Work of Honor or any third party. All Work of Honor “Professional Community” members will have the right to access and use your User Content for any legitimate, personal, non-commercial purpose.
viii. Likewise, your User Content may result in Work of Honor or a third party making use of or exploiting your User Content, including but not limited to exhibition of your User Content, creation of a derivative work, and disclosure of sensitive information.
ix. We ultimately have no control over what happens to your User Content and therefore encourage you to think very carefully about what you put into the world.

6. Standard of Conduct:

By using this Website you agree that:
i. You have decided to use this Website on your own - use is optional and you can close your account at any time.
ii. Any and all information that you submit and share on this Website is accurate and true.
iii. Any and all information that you submit and share on this Website can be used by Work of Honor.
iv. You will not hold Work of Honor liable for connections made on our platform as Work of Honor does not verify or endorse any person, organizations, opportunities, or listing on our platform.
v. You are responsible for your own safety on Work of Honor, including when you engage in any internal mail, in-person, virtual, or other recruiting or social engagement that originates from the Website.
vi. You will conduct yourself professionally and lawfully on our platform.
vii. You will not use Work of Honor for any commercial or other purpose that is not expressly permitted by these Terms of Use;
viii. You will not copy, store or otherwise access any information contained on Work of Honor for purposes not expressly permitted by these Terms;
ix. You will not infringe the rights of any person or entity, including without limitation, their intellectual property, privacy, publicity or contractual rights;
x. You will not interfere with or damage Work of Honor (our website, address, phone, email, online content, social media profiles, and other public content), including, without limitation, through the use of viruses, cancel bots, Trojan horses, harmful code, flood pings, denial-of-service attacks, packet or IP spoofing, forged routing or electronic mail address information or similar methods or technology;
xi. You will not use Work of Honor to transmit, distribute, post or submit any information concerning any other person or entity, including without limitation, photographs of others without their permission, personal contact information or credit, debit, calling card or account numbers;
xii. You will not use Work of Honor in connection with the distribution of unsolicited commercial email ("spam") or advertisements;
xiii. You will not stalk or harass any other user of our Website or Services or collect or store any personally identifiable information about any other user;
xiv. You will not offer, as a person, any skills, time, expertise, or other work that you are not qualified to provide;
xv. You will not register for more than one Work of Honor Account or register for a Work of Honor Account on behalf of an individual other than yourself or a Business other than the one you are authorized by;
xvi. You will not impersonate any person or entity, or falsify or otherwise misrepresent yourself or your affiliation with any person or entity;
xvii. You will not use automated scripts to collect information or otherwise interact with Work of Honor;
xviii. You will not submit any information that is not true or that you will not honor; or post, upload, publish, submit or transmit any content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any other person; or (vii) promotes illegal or harmful activities or substances;
xix. You will not use, display, mirror or frame Work of Honor or any individual element within Work of Honor, Work of Honor’s name, any Work of Honor trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Work of Honor’ express written consent;
xx. You will not access, tamper with, or use non-public areas of Work of Honor, Work of Honor’ computer systems, or the technical delivery systems of Work of Honor’ providers
xxi. You will not attempt to probe, scan, or test the vulnerability of any Work of Honor system or network or breach any security or authentication measures;
xxii. You will not avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Work of Honor or any of Work of Honor’ providers or any other third party (including another user) to protect Work of Honor;
xxiii. You will not forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site, Services, Application or Collective Content to send altered, deceptive or false source-identifying information;
xxiv. You will not attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Website, Services, Application or Collective Content; or
xxv. You will not attempt to or actually inhibit or otherwise interfere with another user’s legitimate, good-faith use and/or enjoyment of our Services. Among other things, this includes your agreement to refrain from contacting users with whom you do not have a legitimate personal or professional connection.
xxvi. You will not impose any excessive load or unreasonable demand – as per our sole determination – on our infrastructure, systems, servers, or other technology and operations.
xxvii. You will not attempt to or actually reverse engineer, decompile, or otherwise derive the code underlying any aspect, feature, function, or detail concerning or relating to our Services.
xxviii. You will not link to any of our Services in an effort to disrupt, obstruct, harass, defame, unfairly profit from, or otherwise harm us. Furthermore, you agree that deep linking to our Services (e.g. our website) is strictly prohibited without our prior express written consent.
xxix. You will not advocate, encourage, or assist any third party in doing any of the foregoing.
xxx. If you are a Business or a Recruiter , then in addition to the above, you agree that
a. you will only post legitimate job opportunities;
b. you will not violate any employment or other laws related to your job postings on Wok of Honor, or recruitment or communication with other registered users on Work of Honor thereby;
c. Work of Honor does not verify the resumes and other profile information posted by the registered users of the Site, and you are solely liable for verifying the information presented by any job candidates before hiring them through the Site and conducting your own due diligence.
d. Recruiters and Businesses may only solicit potential employees in the “Professional Community” using the “Business” web pages and the system functionality provided by Work of Honor. Solicitation outside of this functionality may result in termination of your account. Solicitations may only be made to the “Professional Community” interested in accepting request. Businesses and Recruiters are responsible for acting with the highest standards in respecting the wishes of the community and interacting only with those individuals that have expressed an interest in receiving solicitations using the internal email system or who have proactively submitted a response to a job posting.

7. Proprietary Rights:

i. Work of Honor Materials. The content included on the Website, including, without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like, and the trademarks, service marks and logos contained therein, are owned by or licensed to Work of Honor, and are subject to copyright and other rights under international intellectual property laws. Provided that you fully agree and comply with these Terms of Use, you will be granted a limited, non-exclusive, non-sub-licensable, non-transferable, non-delegable, non-assignable, fully revocable license to access and use our Services strictly as authorized, in accordance with our terms and conditions, including these Terms of Use and Privacy Policy. Work of Honor reserves the right to suspend or revoke this license at any time, for any reason, without notification or warning.

Permission to use content, documents and related graphics delivered from this Website is restricted. Information and materials on this Website, including pages and content, may not be copied, distributed, modified, published, or transmitted in manner, including for use in creative work or to sell or promote other products or services. Violation of this policy may result in infringement of Work of Honor’s or other third parties’ intellectual property and contractual rights which are protected by domestic, state and federal law and international law and treaties and could result in substantial civil and criminal penalties.

When retrieving information from our Website, you are prohibited from (1) using or attempting to use spiders, robots, avatars, intelligent agents, or any other extraction or navigation search except for a normal browser; (2) downloading, aggregating, copying, duplicating, indexing, and/or collecting any of the materials or information available from the Website; (3) accessing data not intended for legitimate use of the Website for the purposes stated above; (4) displaying, publishing, transmitting, licensing, sublicensing, distributing, exhibiting, and/or making commercial use of the information or materials beyond our prior express written consent; (5) duplication, rebranding, and/or derivate usage of these items; (6) deleting or modifying the substance and/or appearance of these items; (7) displaying these items out of context, obscuring them, including them alongside objectionable content, or otherwise failing to present them as fully intended; and (8) other manual and/or automated means of improper access or retrieval of these items.

ii. User Content. We do not claim ownership to the User Content posted by you, but by posting or allowing us to post User Content on the website you automatically grant, and you represent and warrant that you have the right to grant, to Work of Honor an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, exhibit, market, advertise, perform, display, make commercial use of, distribute, make derivative works of, and incorporate into other works, your User Content and other information arising out of and/or relating to your use of the Services and to grant and authorize sub-licenses (through multiple tiers) of the foregoing, including posting it on Facebook, LinkedIn, and other social media sites. You further agree that you waive any moral rights – including but not limited to the rights of attribution – in connection with any User Content and any other information arising out of and/or relating to your use of our Services. Furthermore, you represent that you have full authority and right to grant licenses and waive rights pursuant to these Terms of Use.

Further, you agree that Work of Honor may, at its sole discretion: store, save, retain, screen, filter, flag, edit, remove, censor, delete, filter, edit, or destroy your User Content as it deems fit, with or without notice or cause, effective immediately. Furthermore, you agree that Work of Honor may store, save, retain, delete, or destroy any data it collects, including but not limited data concerning your personally identifying and financially sensitive information. Specific details about how we use your information – including your personally identifying and financially sensitive information – can be found in our Privacy Policy. We encourage you to review this Policy carefully.

8. Copyright Infringement Notice:

If you feel that the content on this Site belongs to you and has been wrongfully posted by a user, in violation of your copyright to such Content, then you may provide notice of such infringement to Work of Honor at info@workofhonor.com; or to

We will investigate your claim and remove the infringing posting(s), and determine whether the said posting violates a genuine copyright. If we believe that your copyright has been violated, we will remove the infringing material from the Site. You agree that your remedy against Work of Honor for such violation is restricted to removal of the infringing material.

9. Report Suspicious or Improper Conduct:

As part of a community, we ask that our users keep an eye open for suspicious or improper conduct. You agree to immediately notify Work of Honor of any unauthorized use of your account, any breach of security, or any other suspicious or improper usage of our Services (including but not limited to reporting inappropriate conduct). Likewise, you agree to immediately notify Work of Honor with a detailed explanation if you believe you or any other user has committed or will commit a breach of this Agreement. You can make such a report by emailing mail@workofhonor.com with the subject line “Improper Conduct” and a detailed account of the issue.

10. Monitoring and Investigation:

You acknowledge and agree that Work of Honor may, in its sole discretion, monitor or review any User Content, user interaction, and/or any other attempted or actual usage of our Services – including any data, analysis or other derivative information –at any time for any reason without liability or the need for further notification or consent. This includes without limitation inspection of your usage with respect to: the content of messages and your receipt/sending of messages; the creation, sharing, and viewing of User Content; and other interactions in connection with our Services. 11. Messages & Notifications to You:

For the purpose of service messages and notices, we reserve the right to contact you through any means we choose, including by mail, telephone, email, social media, website banner, notice appear in connection with our Service, or otherwise. You agree that any means of contact we choose will suffice for the purpose of providing adequate, timely legal notice.

12. DISCLAIMERS OF WARRANTY:

YOUR USE OF THE WEBSITE AND WORK OF HONOR’S SERVICES IS SOLELY AT YOUR OWN RISK. NEITHER WORK OF HONOR NOR ITS AFFILIATES IN ANY MANNER WARRANTS THAT: WORK OF HONOR PRODUCTS AND/OR SERVICES FUNCTION OR WILL FUNCTION IN AN UNINTERRUPTED OR ERROR-FREE MANNER; INFORMATION, MATERIALS, DATA, CONTENT, OR DATA WILL BE AVAILABLE AND/OR PRESERVED; MALFUNCTIONS OR DEFECTS HAVE BEEN OR WILL BE CORRECTED; OUR SERVICES ARE AND WILL REMAIN SECURE; OR OUR SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE AND WILL CONTINUE TO BE FREE OF VIRUSES OR OTHER HARMFUL AND/OR DESTRUCTIVE COMPONENTS. NEITHER WORK OF HONOR NOR ITS AFFILIATES WARRANTS THAT ANY MESSAGES, EMAIL, OR ATTACHMENTS WE SEND – OR ANYTHING ELSE WE MAKE AVAILABLE FOR DOWNLOAD OR ACCESS – ARE FREE OF VIRUSES OR OTHER HARMFUL OR DESTRUCTIVE COMPONENTS.

NEITHER WORK OF HONOR NOR ITS AFFILIATES MAKES ANY PROMISES OR WARRANTIES REGARDING THE ACTS AND/OR OMISSIONS OF ANY THIRD PARTY. WORK OF HONOR AND ITS AFFILIATES HANDLE PRIVATE, FINANCIAL, AND OTHERWISE SENSITIVE INFORMATION WITH THE UTMOST LEVEL OF SECURITY AND CARE; HOWEVER, WE CANNOT AND DO NOT GUARANTEE THAT ANY TRANSACTION OR TRANSFER OR STORAGE OF INFORMATION IS 100% SECURE. WORK OF HONOR THEREFORE DISCLAIMS ALL LIABILITY IN CONNECTION WITH ANY UNDESIRED AND/OR HARMFUL DISCLOSURE AND/OR USAGE OF YOUR INFORMATION – PERSONALLY IDENTIFYING INFORMATION, FINANCIALLY-SENSITIVE INFORMATION, OR OTHERWISE.

You hereby agree to fully and unconditionally release Work of Honor from any and all risks, harms, liabilities, responsibilities, damages, settlements, awards, disputes, controversies, claims, losses, fees, and/or penalties – regardless of how they occur or their legal implications –arising out of or relating to our Company, its individuals, and/or our Services, Website, users, materials, information, data, code, terms and/or content on the Website. This clause embraces, but is not limited to, a full and unconditional release from: statutory damages; lost profits; lost revenue; loss of opportunity; harm to reputation; loss of use of Services or any associated products or services; interruption of business; cost of capital, facilities, services, labor, and/or salaries; downtime, shutdown, and/or slowdown costs; spoilage of materials; inaccuracy, destruction, and/or loss of any data; any damages multiplier, including but not limited to any provision at law for double or treble damages; attorney fees; litigation costs; the cost of substitute services; any additional penalties(including without limitation administrative and/or civil penalties); and any other actual, direct, indirect, special, incidental, consequential, exemplary, reliance and/or punitive damages – even if Work of Honor and/or its Affiliates were advised as to the possibility of such.

This clause applies regardless of whether the matter implicates negligence, intentional conduct, or otherwise. This clause applies regardless of whether the matter involves a statutory, tort, contractual and/or other dispute.

Your sole remedy is to terminate this Agreement, close your browser, and cease from any attempted or actual access or use our Services.

In no event whatsoever will our maximum aggregate liability exceed $50 for damages, harms, losses, costs, fees, expenses, penalties, and fines arising out of or relating to Work of Honor, our Services, and/or your account.

14. Indemnification:

You agree to indemnify Work of Honor and hold us harmless in connection with any claims, obligations, liabilities, costs, debt, expenses, losses, damages, settlement amounts, charges, fees, penalties, or fines, arising out of or relating to your account, and/or acts and/or omissions concerning our Services (including but not limited to your User Content and related representations). You acknowledge and agree that Work of Honor reserves the exclusive right to control the defense and settlement of any claim, dispute, suit, matter, or controversy for which you are bound to provide indemnification by this clause or any other term or condition.

This website may contain features and functionalities that may link you or provide you with access to third party content which is completely independent of Work of Honor, including web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the internet as a whole.

Your interactions with organizations and/or individuals found on or through this website, including other members, business organizations, author’s, professional community, veterans and recruiters are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties.

You agree that Work of Honor shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site as such, you understand and agree that Work of Honor is under no obligation to become involved. In the event that you have a dispute with one or more other users or organizations, you hereby release Work of Honor, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and / or our service.

If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."

16. Injunctive Relief:

You agree that under no circumstances will you seek to enjoin or restrain Work of Honor from running its Services, including without limitation operating the website Work of Honor.com, relaying job opportunities to job seekers, and running targeted ads and promotions. You acknowledge and agree that you are not entitled to injunctive relief, rescissions, or any other equitable remedy under this Agreement.

17. Termination:

i. Termination by Work of Honor. We may terminate these Terms of Use at any time with a five day notice to you.
ii. Termination by You. If you wish to terminate this Agreement, and no longer access or utilize our services, you may do so at any time, simply send an email to mail@workofhonor.com from the account you use in connection with work and include the subject line “End Use”. You acknowledge that the termination has no impact on our ability to maintain and use the information and content you communicated to us, including your User Content.
iii. Clauses Surviving Termination. Any provisions above that impose an obligation after termination of these Terms of Use shall survive the termination or expiration of this Agreement, including but not limited Section 5 (“Proprietary Rights”), Section 10 (“Disclaimer of Warranty”), and Section 11 (“Limitation of Liability”).

18. Miscellaneous:

i. Force Majeure. Work of Honor shall hold no liability or responsibility for any harms, damages, penalties, losses, costs, expenses, fees, or issues that result from factors beyond the scope of our reasonable control.

ii. Severability. If any of the Terms herein – or any portion thereof – are held unenforceable, the impact of that unenforceability (i.e. limitation or exclusion of terms) will be construed as narrowly as possible; moreover, the remainder of the Terms of use herein – and all other portions thereof – shall nevertheless remain in full force and effect. Your jurisdiction may not allow the disclaimer of certain warranties or limitations of certain types of damages. Thus, it is possible that portions of these Terms of use may not apply to you. However, the limitation or exclusion of a particular disclaimer, restriction, limitation, term, or condition shall in no manner impact any other provision herein, nor shall it affect the validity or force of that disclaimer, restriction, limitation, term, or condition in other jurisdictions.

iii. Non-Waiver. The failure of a party, at any time or from time to time, to require performance of any obligations of the other party under this Terms of Use shall not affect its right to enforce any provision of this Terms of Use at a subsequent time, and the waiver of any rights arising out of any breach shall not be construed as a waiver of any rights arising out of any prior or subsequent breach. No waiver of any provision of this Terms of Use shall be effective unless it is in writing and signed by an authorized representative of Work of Honor.

iv. Entire Agreement. These Terms of use and the incorporated Statement on Privacy represent the entire agreement between you and Work of Honor with respect to your access to and use of our Services. These terms and conditions supersede any conflicting agreements or terms or conditions therein – however and whenever established – between you and Work of Honor, unless Work of Honor explicitly states otherwise. We reject any term or condition, however and whenever set forth, that conflicts with any term or condition herein listed. v. Choice of Law & Venue. All disputes will be handled in Pierce County, WA. Any claim, dispute, suit, matter, or controversy arising out of or relating to Work of Honor, our Services and/or these Terms of Use will be construed and governed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. You agree that claims, disputes, cause of actions, and proceedings against Work of Honor must commence within one year of when the cause of action arises and shall be submitted exclusively to the jurisdiction of a state or federal court located in Pierce County, WA. You hereby waive any defense or claim of lack of personal jurisdiction, the inappropriateness of venue, or forum non conveniens. You acknowledge and agree that this provision is not intended to, in any manner, limit or negate the force or effect of the immediately subsequent provision entitled “Arbitration of Claims.”

vi. Arbitration of Claims. Arbitration is a great way to avoid a protracted legal dispute. Any claim, dispute, suit, matter, or controversy arising out of or relating to Work of Honor, our Services and/or these Terms of Use may – at the election of either party – be settled exclusively and finally by arbitration. The arbitration shall be conducted in accordance with the commercial arbitration rules created by the American Arbitration Association and before a sole arbitrator in Pierce County, Washington. Under no circumstance shall punitive damages be awarded in the arbitration. Any award rendered in such arbitration proceedings shall be final and binding on each of the parties, and judgment may be entered thereon in a court of competent jurisdiction.

vii. Class Action Waiver. You may only pursue a claim, dispute, suit, matter, or controversy arising out of or relating to Work of Honor, our Services and/or these Terms of use in an individual capacity. You agree that you shall not be involved with any class or representative proceeding – or otherwise participate as a lead plaintiff or class member, in a putative or certified class – involving any claim, proceeding, action, controversy, or dispute arising out of or relating to Work of Honor, our Services, our Affiliates, and/or any agreement you may have formed with us.

viii. Export Control Laws. United States export control laws regulate the export and re-export of technology originating in the United States. This includes the electronic transmission of information and software to foreign countries and to certain foreign nationals. As with all applicable laws, rules, regulations, and standards, you agree to abide by all applicable laws, rules, regulations, and standards concerning export control.

ix. Headings. Our headings and section titles – in these Terms of Use and the incorporated Privacy Policy – are provided strictly for your convenience; they have no binding or representative effect on either Party.
